Kuat Kozhakhmetov has become the Chairman of the Board of Directors of Jusan Bank

First Heartland Jusan Bank JSC (hereinafter referred to as the Bank) announces that by the decision of the Board of Directors dated September 16 this year, independent director Kuat Kozhakhmetov was elected Chairman of the Board.

On the same day, by the decision of the shareholders' meeting, Gulmira Dzhumadillayeva, Chairperson of the Management Board of the Bank, was elected a member of the Board of Directors.
K. Kozhakhmetov replaced Galimzhan Yesenov as Chairman of the Board of Directors, who resigned from his position as a member of the Board of Directors at the general meeting of shareholders.

Thus, the current composition of the Board of Directors of the Bank is as follows:

Kuat Kozhakhmetov - Chairman of the Board of Directors, independent director; Zharkinbek Azbekov - Member of the Board of Directors, independent director; Saida Dzharbolova - Member of the Board of Directors, independent director; Gulmira Dzhumadillayeva - Member of the Board of Directors.

The decision of G. Yesenov, who is a major shareholder of the Bank, to resign from the Board of Directors is in line with the best global practices of corporate governance, according to which the majority shareholder does not participate in the activities of the Bank's management body.

G. Yesenov welcomed the decision of the members of the Board of Directors to elect K. Kozhakhmetov as the Chairman of the Bank's management body.

"Mr. Kozhakhmetov is a professional with extensive experience and has held senior positions both in the public sector of the economy and in the financial sector. I wish the Board of Directors great success in their work and the achievement of their goals," added G. Yesenov.
The Bank shareholder also commented on his decision to resign from the Board of Directors: "During my tenure as Chairman of the Board of Directors of Jusan Bank since August 2023, the Bank updated its Development Strategy, made key decisions regarding priority areas of work, and strengthened the management team. Today, Jusan Bank is one of the most sustainable financial institutions in the country, with enormous potential for development and growth. I believe that at this stage my resignation from the Board of Directors is the best decision from the point of view of corporate governance and business efficiency.”

K. Kozhakhmetov has extensive professional experience in the financial sector of Kazakhstan. Having started his career as a leading economist in the Financial Analysis Department of the Banking Regulation Department of the Banking Supervision Department, he rose to the position of Deputy Chairman of the National Bank of the Republic of Kazakhstan. At various times, he held senior positions in Tsesnabank JSC, Tsesna Corporation JSC, the Agency of the Republic of Kazakhstan for Regulation and Supervision of the Financial Market and Financial Organizations, the Committee for the Control and Supervision of the Financial Market and Financial Organizations of the National Bank of the Republic of Kazakhstan, Optima Bank OJSC (Kyrgyz Republic), NWF Samruk-Kazyna JSC and AIFC Administration JSC. He graduated from the Kazakh Economic University named after T. Ryskulov with a degree in Business and Management, graduated from the Executive MBA program at the University of Chicago Booth School of Business, and from the IoD (Institute of Directors) in the UK. He is also a Chartered Director with the international qualification of IoD Chartered Director. Additionally, he is a member of the Supervisory Board of the Qazaq Independent Directors Association.
